Terms & Conditions

These terms govern your use of PAID-ESA's services, programs, and digital platforms.

These Terms & Conditions (Terms) govern your access to and use of PAID–ESA's websites and services, including programs, courses (such as Weekend Shifts), PLEP, events/webinars, research outputs, and related content (collectively, the Services). By using the Services, you agree to these Terms.

1) About PAID–ESA

PAID–ESA is a Pan-African institution delivering professional training, research, and consultancies to support sustainable development across East and Southern Africa in collaboration with regional and international partners.

2) Acceptance of Terms

By accessing or using the Services, you confirm that you are capable of entering into a binding agreement and will comply with these Terms and all applicable laws. If you do not agree, do not use the Services.

3) Accounts & accuracy

Some features may require an account or registration (e.g., event enrollment). You must provide accurate information, keep credentials confidential, and promptly update changes. You are responsible for activity under your account.

4) Programs, courses, and events

Admissions & enrollment:

We may set eligibility criteria, prerequisites, or capacity limits. We may accept, waitlist, or decline applications at our discretion.

Schedules & changes:

We may modify schedules, instructors, delivery mode (onsite/online/hybrid), or content when reasonably necessary (e.g., speaker illness, force majeure). We aim to notify participants promptly.

Certificates:

Where applicable, certificates are issued based on stated requirements (attendance, assessments, fees). Certificates are not professional licenses and do not guarantee employment or accreditation unless explicitly stated.

Recordings & media:

Events and trainings may be recorded or photographed for educational and promotional purposes. By attending, you consent to being recorded/photographed, unless you inform us in writing in advance and we can reasonably accommodate.

5) Fees, donations & refunds

Program fees, if any, will be stated at the point of registration. Donations are voluntary and processed by third-party payment providers.

Unless we specify otherwise in program materials or required by law, fees are generally non-refundable. If a session is cancelled by us without a reschedule option, we may offer a refund or credit at our discretion.

You authorize our payment partners to charge your selected payment method for fees and applicable taxes.

6) Acceptable use

You agree not to:

  • violate laws or infringe third-party rights;
  • upload malicious code or attempt to breach security;
  • harass, abuse, or disrupt other users or instructors;
  • share course materials, downloads, or restricted content beyond permitted uses;
  • impersonate others or misrepresent your affiliation;
  • use the Services to send spam or unauthorized marketing.

We may suspend or terminate access for violations.

7) Intellectual property

All content we provide (courses, curricula, research briefs, texts, images, logos, videos, and site design) is protected by intellectual property laws and remains the property of PAID–ESA or its licensors/partners.

Unless expressly permitted, you may not copy, modify, distribute, perform, or create derivative works. Limited personal/organizational use is allowed for enrolled participants as indicated in course materials. Trademarks and logos may not be used without written permission.

8) User submissions

If you submit content (assignments, feedback, messages, photos), you grant PAID–ESA a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely to operate and improve the Services. You represent that you have the necessary rights to grant this license.

9) Third-party services & links

Our Services may integrate with third-party platforms (e.g., webinar tools, file delivery, payment processors). Your use of those services may be subject to their terms. We are not responsible for third-party content or practices.

10) Disclaimers

The Services (including trainings, webinars, publications, and website content) are provided "as is" and "as available" for educational purposes. To the fullest extent permitted by law, PAID–ESA disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation or specific outcomes (e.g., employment).

11) Limitation of liability

To the maximum extent permitted by law, PAID–ESA and its officers, staff, and partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid to us for the relevant Service in the 6 months prior to the claim (if any).

12) Indemnification

You agree to indemnify and hold harmless PAID–ESA from claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Services.

13) Suspension & termination

We may suspend or terminate your access at any time if we reasonably believe you violated these Terms, pose a security risk, or for operational/legal reasons. You may stop using the Services at any time.

14) Governing law & dispute resolution

These Terms are governed by the laws of [insert host country/primary place of registration], without regard to conflict-of-laws rules. Disputes will be subject to the exclusive jurisdiction of the courts of [insert city/country], unless otherwise required by mandatory law.

15) Changes to Terms

We may update these Terms to reflect changes in our Services or legal requirements. We will post the updated Terms with a new "Last updated" date. If changes are material, we may provide additional notice.
